HOOM's Terms of Service

A note before you begin
These Terms of Service are the agreement between you and HOOM. They set out what you can expect from us, what we expect from you, and how we handle the things that can go wrong even in well-built systems.
We have written them to be readable. Where legal language is required, we have used it precisely. Where plain language is enough, we have used it instead. If you have questions, contact us at the address in Section 15.
1. Who we are and what these Terms cover
These Terms of Service ("Terms") form a binding agreement between you and Assetive Inc. ("HOOM," "we," "us," or "our"), a federal Canadian corporation headquartered in Toronto, Ontario, Canada.
These Terms govern your access to and use of:
- The HOOM website
- HOOM's autonomous Chief Energy and Financial Officer ("CEFO")
- HOOM's services delivered through WhatsApp, Telegram, and any future channel we operate
- All related applications, features, integrations, and content (collectively, the "Service")
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Who can use HOOM
You may use HOOM if:
- You are at least 18 years old (or the age of majority in your jurisdiction, whichever is higher)
- You have the legal capacity to enter into a binding contract
- You are the owner, occupant, or authorised representative of the household you are connecting to HOOM
- You are not barred from using the Service under applicable law
By using HOOM, you represent and warrant that you meet these conditions.
3. What HOOM is, and what HOOM is not
3.1 What HOOM is
HOOM is an autonomous intelligence service that lives inside your home through chat and voice. Our CEFO analyses your household's energy and financial data and provides recommendations, optimisations, and authorised actions on your behalf.
3.2 What HOOM is not
- A licensed financial advisor, accountant, investment advisor, or fiduciary
- A licensed legal advisor or law firm
- A licensed energy provider, utility, or regulated energy retailer
- A regulated insurance provider, bank, or financial institution
- A substitute for professional advice on financial, legal, tax, or regulated energy matters
3.3 No guarantee of outcomes
While HOOM is designed to deliver real value to your household, we do not guarantee specific savings, returns, financial outcomes, or energy performance. Results depend on factors outside our control.
3.4 Service availability
We work continuously to keep the Service available. We do not, however, guarantee uninterrupted access. We may suspend, modify, or discontinue any part of the Service for maintenance, upgrades, security, or operational reasons, with reasonable notice where practicable.
4. Your account and use of the Service
4.1 Account information
To use HOOM, you must provide accurate, current, and complete information. You are responsible for keeping that information up to date and for the security of your access.
4.2 Acceptable use
You agree to use HOOM only for lawful purposes and in accordance with these Terms. You will not:
- Use HOOM to violate any applicable law, regulation, or third-party right
- Misrepresent your identity, affiliation, or authority over a household
- Interfere with or disrupt HOOM's infrastructure or services
- Attempt to gain unauthorised access to HOOM, related systems, or other users' accounts
- Reverse-engineer, decompile, or otherwise attempt to extract HOOM's source code, models, or proprietary methods
- Use HOOM to harass, defraud, deceive, or harm others
- Scrape, crawl, or extract data from HOOM at scale or via automated means
- Use HOOM, in whole or in part, to develop a competing product or service
4.3 Your responsibility for authorised actions
If you authorise CEFO to take actions on your behalf, you are responsible for the configuration and scope of those authorisations. You may review, modify, or revoke CEFO's permissions at any time.
5. Fees and payments
5.1 Service fees
HOOM may charge fees for its services. The applicable fee structure will be disclosed to you clearly before you incur any charges.
5.2 Payment processing
Payments are processed by third-party providers (such as Stripe). We do not store full payment card details on our own systems.
5.3 Taxes
You are responsible for any taxes, levies, or duties applicable to your use of HOOM, except for taxes on HOOM's net income.
5.4 Refunds and cancellations
Refund and cancellation terms will be set out in your service agreement at the time of purchase. Unless otherwise specified, fees paid are non-refundable except where required by law.
5.5 Right to update fees
We may change our fees from time to time. We will provide you with reasonable advance notice of any fee changes that affect you.
6. Intellectual property
6.1 HOOM's intellectual property
The HOOM Service — including its software, models, design, content, brand, and trademarks — is the property of Assetive Inc. and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service as described, and nothing more.
6.2 Your content
You retain ownership of the information, data, and content you provide to HOOM ("Your Content"). By providing Your Content to HOOM, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, process, transmit, and display Your Content solely for the purpose of providing the Service to you. This licence ends when you delete Your Content or close your account, except where retention is required by law.
6.3 Feedback
If you provide feedback, suggestions, or ideas about HOOM, we may use them without restriction or obligation to you.
6.4 Trademark
"HOOM," "CEFO," and related marks are trademarks of Assetive Inc. You may not use them without our prior written permission.
7. Privacy
Your use of HOOM is also governed by our Privacy Policy, which explains how we collect, use, share, and protect your information. The Privacy Policy is incorporated by reference into these Terms.
8. Third-party services and content
HOOM may integrate with, link to, or interoperate with third-party services — including utility providers, smart device platforms, messaging platforms, payment processors, AI model providers, and other tools. We are not responsible for the content, policies, security, or practices of any third-party service.
9. Disclaimers
9.1 No professional advice
HOOM provides information, recommendations, and intelligence based on the data available to it. HOOM does not provide regulated financial, legal, tax, accounting, or energy advice. Always consult appropriately qualified professionals before making material decisions.
9.2 "As is" and "as available"
To the maximum extent permitted by law, HOOM is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, non-infringement, or that the Service will be uninterrupted or error-free.
9.3 No reliance on CEFO for critical decisions
CEFO is intelligent, but it is not infallible. You should not rely on CEFO for emergency situations, life-safety decisions, or decisions with consequences beyond what HOOM is designed to address.
10. Limitation of liability
To the maximum extent permitted by law:
(a) HOOM, Assetive Inc., its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or business interruption, arising out of or relating to your use of the Service.
(b) Our total aggregate liability in any twelve (12) month period will not exceed the greater of: (i) the total fees you have paid to HOOM during that period, or (ii) one hundred Canadian dollars (CAD $100).
(c) Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless HOOM, Assetive Inc., its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or third-party right
- Any content or information you provide to HOOM
- Any action taken by CEFO on your behalf under authorisations you provided
12. Suspension and termination
12.1 Your right to stop using HOOM
You may stop using HOOM at any time. To delete your account and request deletion of your data, contact us at hoom@unibootsystems.com or speak directly to CEFO.
12.2 Our right to suspend or terminate
We may suspend or terminate your access to the Service if you violate these Terms or the Privacy Policy, if we are required to do so by law, or if continued provision of the Service creates a security, legal, ethical, or operational risk.
12.3 Effect of termination
Upon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination will continue in force. We will handle your data after termination in accordance with the Privacy Policy.
13. Governing law and dispute resolution
13.1 Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
13.2 Jurisdiction
You agree that any dispute arising out of or relating to these Terms or your use of the Service will be resolved exclusively in the courts of the City of Toronto, Ontario, Canada.
13.3 Informal resolution first
Before initiating any formal legal proceeding, you agree to contact us at hoom@unibootsystems.com and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.
13.4 Class action waiver
To the extent permitted by applicable law, you agree to bring any claim against HOOM only in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.
13.5 Time limit on claims
To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year of the date the claim arose.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify you through:
- A clear notice on our website
- A direct message via WhatsApp, Telegram, or email, as appropriate
- The updated "Last Updated" date at the top of these Terms
Your continued use of HOOM after the changes become effective constitutes acceptance of the updated Terms.
15. General
15.1 Entire agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and HOOM regarding the Service and supersede any prior agreements.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
15.3 No waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision at a later time.
15.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.
15.5 Force majeure
Neither party will be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including natural disasters, acts of war or terrorism, government action, infrastructure failures, or service disruptions caused by third parties.
15.6 Notices
We may provide notices to you via the contact details associated with your account. Notices to us must be sent to hoom@unibootsystems.com or to the address in Section 16.
15.7 Relationship of the parties
Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and HOOM.
